1. Definitions
In these Terms & Conditions:
- "We", "Us", "Our" refers to Wovenly, operating from Lorong Pantai 9, 88000 Kota Kinabalu, Sabah, Malaysia.
- "You", "User" refers to the individual or organisation accessing our website or engaging our services.
- "Services" refers to the Annual Cycle Companion Booklet subscription, Cross-Office Co-Working Setup consulting engagement, and Senior Team Off-Site Facilitation, as described on our website.
- "Agreement" refers to these Terms & Conditions together with any written engagement agreement or invoice agreed for a specific service.
- "Website" refers to our website accessible via wovenlya.live.
- "Content" refers to all text, documents, materials, and other intellectual property produced by us in connection with the Services.
2. Acceptance of Terms
By using our website, submitting an enquiry, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you are engaging on behalf of a company or organisation, you represent that you have authority to bind that entity.
You must be at least 18 years of age to use our services. By engaging with us, you confirm that you meet this requirement.
3. Description of Services
Wovenly provides practical people management resources and consulting for business managers and senior teams in Malaysia. Our three services are:
- Annual Cycle Companion Booklet — an annual subscription resource for managers, priced at MYR 470
- Cross-Office Co-Working Setup — a consulting engagement for multi-site organisations, priced at MYR 2,250
- Senior Team Off-Site Facilitation — a facilitated two-day off-site for senior teams, priced at MYR 4,300
Services are available to clients throughout Malaysia. Remote elements of our work may be provided across other countries, subject to agreement.
4. Engaging Our Services
4.1 Enquiries
Submitting an enquiry through our website or by email does not constitute a binding agreement. We will respond to enquiries and, where appropriate, outline the scope and terms for the relevant service.
4.2 Engagement Confirmation
Work begins only when both parties have agreed in writing to the scope, timeline, and price of the engagement. This is typically confirmed by email or a written engagement letter.
4.3 Booklet Subscription
Subscription to the Annual Cycle Companion is confirmed upon receipt of payment. Access to the booklet and associated Q&A sessions is granted for the duration of the subscription period.
5. Payment Terms
- All prices are stated in Malaysian Ringgit (MYR) and are inclusive of any applicable fees unless stated otherwise.
- Payment terms are agreed in writing at the start of each engagement. Typical terms are 50% on confirmation and 50% on delivery, or as otherwise agreed.
- Payment is accepted by bank transfer to our nominated account.
- Work may be paused if payments are significantly overdue. We will give notice before taking this step.
6. Cancellation and Refunds
- Booklet subscriptions: are non-refundable once the booklet has been delivered.
- Consulting and facilitation engagements: If you cancel more than 14 days before the agreed start of work, any deposit paid will be refunded less an administration fee of MYR 200. Cancellations within 14 days of the start of work are non-refundable.
- Off-site facilitation: If we are required to travel for an off-site and you cancel within 7 days of the event, reasonable travel costs already incurred will be charged.
- If Wovenly is unable to deliver a service due to circumstances within our control, we will offer a full refund or rescheduled delivery.
7. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate information in enquiries and engagement discussions
- Not use our website for any unlawful or harmful purpose
- Not reproduce or distribute our booklet, documents, or other materials without written consent
- Not engage in conduct that disrupts facilitated sessions or workshops
- Treat Wovenly personnel with professional courtesy
8. Intellectual Property
All content produced by Wovenly — including the Annual Cycle Companion Booklet, setup documents, workshop summaries, and facilitation materials — remains the intellectual property of Wovenly. We grant clients a limited, non-exclusive, non-transferable licence to use these materials for their internal business purposes.
You may not copy, reproduce, sell, or distribute our materials to third parties without our prior written consent.
9. Confidentiality
We treat all information shared with us during engagements with care. For consulting and facilitation work, specific confidentiality arrangements are agreed in writing at the start of each engagement. We do not share client information with other clients or use it for purposes outside the engagement without consent.
10. Disclaimers
Our services are designed to support managers and senior teams in working through people management questions. We do not provide legal, HR compliance, clinical, or therapeutic advice. Outcomes from our services depend on many factors, including how the materials are used and the particular circumstances of the client's organisation. We do not make specific claims about what will result from using our services.
Our website and its contents are provided on an "as is" basis. We make reasonable efforts to keep information current but do not warrant that the website is error-free or uninterrupted.
11. Limitation of Liability
To the extent permitted by Malaysian law, Wovenly's total liability to you in connection with any service engagement shall not exceed the amount paid for that specific engagement. We are not liable for any indirect, consequential, or economic loss arising from the use of our services or website.
Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
12. Indemnification
You agree to indemnify and hold Wovenly harmless from any claim, loss, or expense arising from your breach of these Terms or from your use of our services in a manner that causes harm to a third party.
13. Termination
Either party may terminate a consulting or facilitation engagement by giving 14 days' written notice. Upon termination, you are responsible for fees for work completed up to the termination date. Wovenly may terminate an engagement immediately if a client acts in breach of these Terms or engages in conduct that makes it unreasonable to continue.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising from these Terms or our services shall first be attempted to be resolved through direct discussion between the parties. If not resolved within 30 days, disputes shall be referred to mediation before any legal proceedings are commenced. The courts of Malaysia shall have jurisdiction to determine any dispute that cannot be resolved through mediation.
15. Changes to These Terms
We may update these Terms from time to time. Changes are posted on this page with an updated "Last Updated" date. Continued use of our services after changes are published constitutes acceptance of the revised terms.
16. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. These Terms, together with any written engagement agreement, constitute the entire agreement between us for the relevant service.
